About this role
What will you be responsible for?
Provide legal counsel, advice, and support to the Company on a variety of strategic transactional matters including securities filings, capital market transactions, credit facilities, M&A, legal research, and a variety of other matters as assigned. Provide significant legal support for the Treasury, Tax, Corporate Secretarial, Corporate Development and Exploration Business Development functions, while also supporting Land, Exploration, and many other corporate functions with contractual needs.
Your role will consist of
Here is a snapshot of what your day to day will look like:
• We provide primary legal support for Corporate Treasury, including advice, negotiation and drafting of refining agreements, concentrate sales agreements, ISDAs, and a variety of financing arrangements; aid in resolving Treasury transaction disputes and issues as they arise.
• We provide significant support for the Corporate Development, Exploration Business Development and Tax functions including negotiating and drafting M&A, JV and other external agreements and handling internal reorganizations and intercompany agreements.
• We provide support to Corporate Secretary, including in connection with capital markets and securities transactions, including securities offerings and registrations, as well as certain public company compliance matters. Also, aid in connection with global subsidiary management matters, including intercompany transfers and transactions and entity rationalization projects.
• We provide legal support to the Land department in the application of prospecting permits, licenses and permits, and in the negotiation of such licenses or permits with the applicable surface and mineral estate owners and government regulators. In coordination with regional counsel and corporate counsel, conduct legal research and provide advice regarding mining laws and requirements in various countries.

Education:
J.D. Degree and current license to practice law in Colorado required.
Experience:
• At least five years of transactional and contracting experience in a prominent Denver or national law firm or as in-house counsel at a mining company or multinational corporation.
• Confirmed experience involving securities filings, capital market transactions, financings, and M&A.
Skills and Abilities:
• Familiarity with mining, a significant plus.
• Familiarity with public company reporting and compliance and entity management/governance also significant pluses.
• Sound business acumen and good interpersonal skills.
• Shown ability to prioritize and handle workload.
• Ability to work independently with little oversight.

• Position may be required to travel to and assist other domestic and international sites.

The salary range offered for this role is $131,000 - 160,000.00. The salary range is tied to the Colorado market for jobs performed in Colorado. The salary offer to the successful candidate will be based on job-related education, training, and/or experience. The salary offer will not be based on a candidate’s salary history at other jobs, and by law, Newmont will not seek information about salary history, and candidates should not share such information with Newmont. This role will be eligible for participation in a discretionary annual bonus program, pursuant to which an employee may be awarded a percentage of their salary based on the company’s performance and their own individual performance.
